By accessing or purchasing OpenClaw Agent HQ ("the Product"), you agree to be bound by these Terms of Service ("Terms"). The Product is owned and operated by Monomoy Strategies LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, please do not use or purchase the Product.

2. Description of Product

OpenClaw Agent HQ is a digital product consisting of a Next.js dashboard template designed for AI agent management. The Product includes source code, documentation, setup tools, and related materials. It is delivered as:

  • A downloadable ZIP archive containing the complete source code
  • Access to a private GitHub repository (for applicable tiers)
  • Documentation and setup guides

3. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to:

  • Use the Product for personal or commercial projects
  • Modify the source code for your own use
  • Deploy the Product on your own infrastructure

You may not:

  • Resell, redistribute, or sublicense the Product or its source code
  • Share access credentials with unauthorized users
  • Use the Product to create a competing product for resale
  • Remove or alter any proprietary notices or branding attribution

4. Pricing and Payment

Prices are listed on our website and are subject to change. All payments are processed securely via Stripe. Prices are in US dollars unless otherwise stated. Sales tax may apply depending on your jurisdiction.

5. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with your purchase for any reason, contact us within 30 days of purchase for a full refund, no questions asked. See our Refund Policy for details.

6. User Responsibilities

You are responsible for:

  • Maintaining the security of your own deployments and infrastructure
  • Configuring and managing your own Supabase backend and API keys
  • Complying with all applicable laws and regulations in your use of the Product
  • Any data stored or processed through your deployment of the Product

7. Intellectual Property

The Product, including its original design, code architecture, documentation, and branding, is the intellectual property of Monomoy Strategies LLC. Your license to use the Product does not transfer any ownership rights.

8. Disclaimer of Warranties

The Product is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Product will be error-free, uninterrupted, or compatible with all third-party services or environments.

9. Limitation of Liability

To the maximum extent permitted by law, Monomoy Strategies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Product.

Our total liability shall not exceed the amount you paid for the Product.

10. Third-Party Services

The Product integrates with third-party services including but not limited to Supabase, Vercel, and various AI model providers. We are not responsible for the availability, terms, or practices of these third-party services. Your use of these services is subject to their respective terms and policies.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Product after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, United States, without regard to its conflict of law provisions.
